Terms & Conditions 


1. General 

1.1 These terms and conditions (“T&Cs”) of TBSC Corp Ltd (company number: 14059929) trading as The Babysitting Club (the “Agency”, “We”, “Us”, “Our”) set out the terms and conditions under which the Agency will provide the Agency Services to the Client.  


1.2. In making use of the Agency Services, the Client will be deemed to have agreed to these T&Cs, as being legally binding on the Client and the Agent.

2. Interpretation 


2.1. For the purposes of these T&Cs the following capitalised terms shall have the following meanings:

2.2. In these T&Cs, unless the context otherwise requires:

2.2.1. each gender includes the other genders;

2.2.2. the singular includes the plural and vice versa;

2.2.3. references to clauses and sub-clauses are to clauses and/or sub-clauses of these T&Cs;

2.2.4. the words ‘include’, ‘includes’ and ‘including’ or similar words are deemed to be followed by the words ‘without limitation’;

2.2.5. references to the T&Cs, any specified clause in the T&Cs, any other document or any specified clause in any other document are to these T&Cs, that document or the specified clause as in force for the time being and as amended varied, novated or supplemented from time to time; and

2.2.6. references to ‘writing’ or ‘written’ includes email.

the hourly rates disclosed from time to time on Our Site or Our App for the employment or engagement by You of a Childminder.

the amount You have agreed with a Childminder for a Booking plus the Agency Fee for such Booking in the amount indicated on our Website for such Booking.

a confirmed (in writing or otherwise) scheduled start and finish time You have agreed with a Childminder for   a Childminder to deliver  childminder services to You.  

a current and valid copy of a Childminder’s criminal convictions and cautions.

the Introduction Services and the Payment Services

Our fee for providing Agency Services to You, being  15% of the Booking Fee plus VAT thereon.

7:00am - 8:00pm (Monday-Friday) and 9:00am -5:00pm (weekends and bank and public holidays in the UK). 

a self-employed vetted, experienced childcare professional registered with the Agency who is available to provide babysitting or nanny services to You.

the person to whom we will be providing Agency Services, typically being the parents or guardians of the children requiring babysitting or nannies/mannies.  

images, graphics, texts, icons, HTML codes and other material onOur Site or Our App .

the introduction of a Childminder to a Client for the provision of childcare and babysitting services by the Childminder to a Client. 

the handling by the Agency of the payments of the Childminder for a Booking on behalf of the Client 

the online payment processing platform operated by Stripe that We are currently using for payments or such other payment processing platform as we may use from time to time.

3. Introduction Services

3.1 Our goal is to match Clients with vetted, experienced childcare professionals referred to as Childminders. 

3.2. Childminders are self-employed, free agents and are not employed by the Agency. As such, the Agency is not legally or otherwise responsible for any act, default or omission of any Childminder.

3.3. Childminders are not required by Us to work for any specified time or for any particular Client. 

3.4. We will:


3.4.1. with your queries promptly;

3.4.2. ensure all of our Childminders are holders of at least a Basic DBS check;

3.4.3. ensure that all of our Childminders have provided us with at least two previous childcare references before they have been registered on our books.

3.5. Upon registration on Our Site or Our App, Clients will need to provide certain information to the Agency for Us to match You with a suitable Childminder which includes but is not limited to:

3.5.1. your full address and post code;

3.5.2. the ages and genders of your children;

3.5.3 the length and hours for which you require any Services;

3.5.4. household allergies/medical conditions, and

3.5.5 if you own any pets. 

3.6. You warrant to the Agency that:


3.6.1. all information provided or to be provided to Us is or will be accurate and up-to-date; and

3.6.2. neither you nor anyone in your household (or anyone who will come into contact with the Childminder) has a criminal conviction (other than for minor road traffic offences).

4. Bookings 



4.1. If you require a Childminder You should enter online into Our Site or Our App the required dates and times for a Booking. You can be as specific as you wish as to your requirements for a Childminder, for example, only a driver or a non-smoker.


4.2. Once we have received notice of Your requirements We will choose from our Childminders a suitable person and notify you by email or online through Our Site or Our App of Our suggested Childminder and send you the profile of the suggested Childminder.


4.3. If You accept our proposed Childminder then You need to confirm the proposed Booking. Once we have your confirmation We will notify You and the Childminder of the Booking which will constitute a contract between You and the specified Childminder.


4.4. On a case-by-case basis, We can arrange a phone call and/or video call with the shortlisted Childminder(s) before any Bookings are made. Our normal correspondence hours are between Business Hours.

5. Obligations relating to a Booking

5.1. You agree that, wherever a Childminder delivers childminding services for You:

5.1.1. this will be into a clean, safe, healthy and pleasant environment for that Childminder and any child.


5.1.2. You will be pleasant and courteous in dealing with Childminders; 

5.1.3. no child will be ill or suffering from any infectious or contagious illness. 

5.1.4. the environment where a Childminder delivers their childminding services complies with all applicable laws and regulations including any relating to pandemics or infectious illnesses. 

5.2. If You fail to provide a safe environment for the Childminder, You will be wholly liable for any losses permitted under English law suffered by the Agency and/or the Childminder.

5.3. You accept that the Agency cannot guarantee the level or standard of performance by individual Childminders.

5.4. You acknowledge that in using the Agency Services, your chosen Childminder may be unavailable from time to time. Childminders may unexpectedly or on short notice, no longer be used by the Agency. 

5.5. If any disputes or disagreements arise between the Client and the Childminder these should be resolved by You with the Childminder. The Agency accepts no responsibility in resolving any such disputes or disagreements that may arise.

5.6. If Childminder services are provided after 10:00pm, Clients are to cover the cost of a taxi or Uber for the Childminder to their registered home address limited to a maximum of £15 (any costs in excess of this amount must be agreed in writing between the Client and Childminder).

6. Payment Services

6.1. To facilitate Your payment obligations in respect of a Booking all Booking Fees shall be payable to Us in £ sterling by bank transfer to Us (as indicated on Our Site or Our App ) or by payment to Stripe  at the time of the Booking.  

6.2. The Booking Fee (less Our Agency Fee) shall be held by Us and paid on Your behalf to the Childminder within seven days of receipt. The Agency Fee shall be retained by Us. We will issue You online with invoices for the Booking Fees.

6.3 Booking Fee and Hourly Rate details will be made available onOur Site or Our App .  

6.4. Invoices for Booking Fees may include additional costs such as but not limited to:

6.4.1. travel fares incurred by the Childminder whilst with the children (e.g. taxis, bus, tube); 

6.4.2. taxi fares for the Childminder up to the limit of  £15; and

6.4.3. snacks (up to a maximum of £3 per child subject to the delivery of a receipt by the Childminder to You or Us).

6.5. If Booking Fee payments are  not received from You within seven days of the Booking , the Agency reserves the right to:

6.5.1. cease supplying Agency Services to the Client; 

6.5.2. place all future Bookings on hold until such time as payment is received in full; and

6.5.3. add interest at the annual rate of 4% above the base rate of Barclays Bank PLC at the relevant time to all amounts outstanding until full payment is received. 

7. Cancellation Policy

7.1. You must provide us with not less than twenty-four hours notice before cancelling or changing the timescale of any Booking. This is to ensure that Your chosen Childminder is available or, in the event of unavailability, to allow the Agency time to arrange for a suitable replacement Childminder.

7.2. You acknowledge the following limitations in respect of clause 7.1:

7.2.1. where the minimum notice period has been given, the Agency will use its reasonable endeavours to find a suitable replacement Childminder;

7.2.2. the Agency does not guarantee to the Client that an immediate replacement Childminder will be available; and 

7.2.3. any  replacement Childminder must be approved by the Client before any replacement Childminder is confirmed.

7.3. To cancel a Booking, please contact the Agency during Business Hours at:

7.3.1. In the first instance, call 07414 194694.

7.3.2. if you are unable to speak to any Agency staff, please email as soon as possible.

7.4 Any Booking that is cancelled by the Client with more than 24 hours’ notice is subject to a fee of 25% of the Booking Fee . Any cancellation by the Client with less than 24 hours’ notice is subject to a fee of 100% of the Booking Fee. 

7.5 The Agency does not accept any liability for cancellations initiated by the Childminder as the Childminder is employed or engaged solely by the Client. Nevertheless, the Agency will use its reasonable endeavours to try and find a suitable replacement Childminder within the relevant timeframe. You accept that no guarantee is given by Us in respect of replacement Childminders.  

8. Termination Rights

8.1. We may terminate, on not less than seven days written notice to You,  at any time and for any reason,  Our contract with You to supply Agency Services. Any such termination shall be without prejudice to any claims we may have against You under these T&Cs.


8.2. On and from such termination We will cease supplying Agency Services to You although we may, in our absolute discretion, honour existing Bookings that you have made.


8.3. We reserve the right to immediately terminate our contract with You if you have private dealings or we suspect you are having private dealings with any of Our registered Childminders without making use of Our Agency Services.

8.4. If We terminate the contract with You or You breach any part or all of the T&Cs your permission to use Our Site or Our App will automatically terminate. We reserve the right to immediately block, restrict, disable, suspend or terminate your access to any or all of Our Site or Our App or their  Content. 

9. Liability 

9.1. Notwithstanding any other provision in these T&Cs and to the maximum extent permitted by law, the Agency’s maximum liability to any Client is capped at £10,000.  

9.2. Nothing in these T&Cs exclude or limit the Agency’s liability for fraud, death or personal injury resulting from our negligence. 

9.3. You shall indemnify the Agency against any loss, damages, costs or expenses which are awarded against or incurred by the Agency as a result of any claim or threatened claim (including any claim or threatened claim by a third party) arising out of or related to:​​

9.3.1. any breach by You of any of these T&Cs or applicable law;​​

9.3.2. Your misuse of the Website,​​

9.3.3. Your infringement of Our intellectual property rights; and​​

9.3.4. Your failure to provide Us with accurate, up to date information.

10. Equality and Diversity


We are committed to promoting equality and diversity in all of our dealings with Clients, Childminders, third parties, employees and contractors. Please  see Our Site or Our App for a copy of the Agency’s Equality and Diversity Policy. 

11. Our Site or Our App

11.1. The Agency grants You a licence to use Our Site or Our App on such devices as you require (e.g. phone, tablet, computer) subject to these T&Cs. 

11.2. These T&Cs do not grant you a licence to use our trade marks or the trade marks of any third parties onOur Site or Our App . 

11.3. The Content of Our Site or Our App is protected by copyright and other intellectual property rights. Except as provided in these T&Cs or otherwise provided in writing by the Agency, You are not granted any licence to use the Content of Our Site or Our App otherwise than in connection with the supply to You of Agency Services. 

11.4. You shall not copy, republish, link, download, transmit, modify, adapt, rent, lease, loan, sell, distribute, licence or sublicence Our Site or Our App or any Content on Our Site or Our App unless you have obtained prior written consent from the Agency. 

11.5. Our Site or Our App contains links to third party advertisements, apps and websites. Access to any other site linked within Our Site or Our App is at the Clients own risk. The Agency does not endorse or make any representation about any third-party websites or apps or accept any liability for the accuracy, or reliability of any information, opinions, or statements made on any third party websites.

12. Privacy and Confidentiality 

12.1. Our privacy policy is available at

12.2. Subject to our privacy policy, all information received by the Agency will be treated as confidential and We shall not disclose information to any other third party without Your consent unless required under English law or by any regulatory body.

12.3. Notwithstanding the above, You acknowledge that, by your acceptance of our T&Cs, the Agency may disclose some or all of the information received by the Agency to our  Childminder(s) in order that we may properly provide the Agency Services.

12.4. There is a strong likelihood that your Childminder will take photographic and/or video evidence of your children, both in and out of the home, for the purposes of sharing it with you. The Agency does not accept any liability for these actions of the Childminder. 

12.5. From time to time and with your written permission, the Agency may ask to use some of the images for marketing purposes on our social media platforms, Our Site or Our App and other physically printed items.

13. Miscellaneous 

13.1. Our provision of the Agency Service may be disrupted by causes beyond our reasonable control, such as severe weather and industrial action, although   We will do everything reasonably within our power to provide the Agency Services. 

13.2. You cannot assign or transfer the benefit of these T&Cs without the prior written consent of the Agency. 

13.3. A failure by the Agency to exercise or enforce any rights granted by these T&Cs will not be considered to be a waiver of any such right nor operate so as to prohibit the exercise or enforcement of such right or of any other right. 

13.4. If any provision of these T&Cs is held invalid, illegal or unenforceable for any reason, such provision shall be severed and the remainder of the provisions shall continue in full force and effect. 

13.5. We reserve the right to amend or update these T&Cs at anytime. For the avoidance of doubt, any changes will not affect Bookings that have already been made.

13.6. These T&Cs and the contract between the Agency and You incorporating these T&Cs constitutes the entire agreement between You and Us and replaces all previous agreements, understanding and arrangements between us, whether in writing or oral.

13.7. A person who is not a party to these T&Cs and the subsequent agreement between us incorporating them, will not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of the provisions of theseT&Cs.

13.8. These T&Cs and any dispute relating to them (including any non -contractual disputes) shall be governed by the laws of England and all parties submit to the exclusive jurisdiction of the courts of England and Wales.
